Terms of Service

Please read these Terms of Service carefully before using Cylux. By creating an account or using our service, you agree to be bound by these terms. If you do not agree, do not use our service.
1. Acceptance of Terms
These Terms of Service ("Terms") constitute a legally binding agreement between you ("User", "Parent", or "you") and Guardian Systems Inc. ("Cylux", "we", "us") governing your use of the Cylux platform, including all mobile applications, web dashboards, and APIs. By creating an account, downloading our apps, or using any part of our service, you confirm that you are at least 18 years of age, have the legal authority to enter into this agreement, and accept these Terms in full.
2. Description of Service
Cylux is a parental monitoring and child safety platform that enables parents and guardians to monitor, manage, and protect the digital activity of minor children in their care. The service includes: real-time GPS location tracking, app usage monitoring and management, web content filtering, remote device management commands, alert systems, and activity audit logging. Cylux is designed exclusively for use by parents and legal guardians to monitor devices owned by and used by their minor children, or by educational institutions and organizations with proper consent frameworks in place.
3. Authorized Use
You may use Cylux only to monitor devices: a) Owned by you and used by your minor child or ward under your legal guardianship; or b) Enrolled in an organization you represent, with appropriate institutional consent and disclosure policies in place. You must disclose to the child that their device is being monitored. Covert monitoring without disclosure may violate applicable wiretapping, surveillance, and privacy laws in your jurisdiction. You may NOT use Cylux to: • Monitor adults without their explicit, informed consent • Monitor individuals who are not your minor children or wards • Stalk, harass, or surveil any person • Circumvent the monitoring of your own children by another guardian • Violate any applicable federal, state, or local laws
4. Account Registration
To use Cylux, you must create an account with a valid email address and secure password. You are responsible for: • Maintaining the confidentiality of your account credentials • All activity that occurs under your account • Notifying us immediately of any unauthorized use at security@cylux.co We reserve the right to terminate accounts that violate these Terms or that we reasonably suspect are being used for unauthorized purposes.
5. Subscriptions and Billing
5.1 Trial Period New accounts receive a 3-day free trial with full Premium features. No credit card is required to start the trial. 5.2 Paid Subscriptions After the trial, continued access requires a paid subscription. Subscriptions are billed monthly on the date you subscribe. All prices are in USD. 5.3 Cancellation You may cancel your subscription at any time from the Subscription page in your dashboard. Cancellation takes effect at the end of the current billing period. We do not provide prorated refunds for partial months. 5.4 Refunds We offer a 7-day money-back guarantee on your first paid month. Contact support@cylux.co within 7 days of your first charge. 5.5 Payment Processing Payments are processed by Stripe. By subscribing, you authorize us to charge your payment method on a recurring monthly basis until you cancel. 5.6 Price Changes We reserve the right to change our pricing with 30 days' notice. Notice will be provided by email and in-app notification.
6. Privacy and Data
Our collection, use, and protection of personal data is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using Cylux, you also agree to our Privacy Policy. You are responsible for ensuring that your use of Cylux complies with all applicable privacy laws in your jurisdiction, including COPPA, GDPR, CCPA, and any state or local equivalent.
7. Intellectual Property
The Cylux platform, including all software, user interfaces, branding, algorithms, and content, is the exclusive intellectual property of Guardian Systems Inc. and is protected by copyright, trademark, and patent laws. You are granted a limited, non-exclusive, non-transferable license to use the Cylux service for your personal, non-commercial parental monitoring use. You may not copy, modify, distribute, sell, or reverse engineer any part of our software.
8. Disclaimers and Limitations
8.1 No Guarantee of Safety Cylux is a tool to assist parents in monitoring their children's digital activity. We do not guarantee that our service will prevent all harm to your child. Cylux is not a substitute for parental supervision and communication. 8.2 Service Availability We strive for 99.97% uptime but cannot guarantee uninterrupted service. We are not liable for temporary outages, maintenance windows, or circumstances beyond our control. 8.3 Limitation of Liability To the maximum extent permitted by law, Cylux's total liability to you for any claim arising from these Terms or your use of the service shall not exceed the amount you paid to us in the 12 months preceding the claim. 8.4 Disclaimer of Warranties THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.
9. Indemnification
You agree to indemnify, defend, and hold harmless Guardian Systems Inc. and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from: (a) your use of the service; (b) your violation of these Terms; (c) your violation of any third-party rights; or (d) your violation of any applicable law.
10. Termination
We reserve the right to suspend or terminate your account at any time, with or without notice, if we determine that you have violated these Terms or used the service for unauthorized purposes. Upon termination, your access to the service will cease immediately. We will retain your data for 30 days after termination in case you wish to reactivate your account. After 30 days, data is permanently deleted.
11. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of California, United States, without regard to conflict of law principles. Any disputes arising under these Terms shall be resolved through binding arbitration in San Francisco, California, under the rules of the American Arbitration Association, except that either party may seek injunctive relief in a court of competent jurisdiction.
12. Changes to Terms
We reserve the right to modify these Terms at any time. When we make material changes, we will notify you by email and display a prominent notice in the Cylux dashboard at least 30 days before the changes take effect. Your continued use of the service after the effective date of the updated Terms constitutes your acceptance of the changes.
